About

Matthew Nutting is the Principal of Nutting Law, P.C., bringing over 25 years of experience as a licensed attorney advising wealthy families, businesses and institutions throughout California in transactional real estate, estate planning, and business law.  His practice is built on a comprehensive understanding of substantive business principles and law, allowing delivery of practical legal solutions.

Mr. Nutting’s real estate practice spans the full lifecycle of property ownership and development, including financing, land-use (entitlements), leasing and sales, exchanges, development projects, and eminent domain matters. He represents developers, investors, and property owners in both routine and highly sophisticated transactions, working on hundreds of millions of dollars in deals annually.

In addition to his real estate work, Mr. Nutting provides strategic counsel to businesses at every stage, from inception through exit planning. His experience includes business formation, capital structuring, buy-sell agreements, employment agreements, secured transactions and mergers & acquisitions (M&A).

For more than 25 years, Mr. Nutting is also a trusted advisor in estate planning, helping affluent families with forming trusts, successions plans and tax planning. 

Mr. Nutting earned his Juris Doctor, With Distinction, from the University of the Pacific, McGeorge School of Law, where he was a member of the prestigious Traynor Honor Society and served as an editor of the California Initiative Review. He also holds a Master of Science, with High Honors, in Real Estate and Construction Management from the University of Denver, along with a Bachelor of Science in Business Administration from the University of the Pacific.

A recognized thought leader, Mr. Nutting has authored numerous publications on limited or exempt securities offerings, including being a published author of a text book  (co-authors Freedman, David, Matthew Nutting, Equity Crowdfunding for Investors: A Guide to Risks, Returns, Regulations, Funding Portals, Due Diligence, and Deal Terms, Wiley Publications, June, 2015) along with several published articles on the subject matter. His work reflects a deep understanding of evolving financial and regulatory landscapes of fundraising and securities for startup and growth businesses.

Mr. Nutting is admitted to practice in California, the U.S. District Court for the Eastern District of California, and the U.S. Tax Court.  He is a member of the Beverly Hills Bar Association and actively involved in the legal and local community, serving as a County Planning Commissioner, County Agricultural Commissioner, as well as regularly serving on professional, government and nonprofit committees and boards.  He has also been a licensed Real Estate Broker since 2006.

Mr. Nutting is dedicated to helping growing companies and affluent clients navigate complex legal matters with well-conceived and practical solutions, aimed at achieving client objectives and long-term success.

Married for 30 years, Matt’s interests include fine dining, golf, high stakes poker, outdoors, good wine, socializing and smoosh-faced dogs (pugs, boxers & Boston terriers).
